General Terms and Conditions

1. Preamble and acceptance

These General Terms and Conditions (hereinafter, "T&C") regulate the access to and use of the website https://vianedita.com/ and the contractual relationship between Anna Chizhova (hereinafter, the "Organizer" or "We") and any individual or entity (hereinafter, the "Client" or "You") who purchases or uses any product or service offered by VIANÉDITA (the "Project" or “Organizer”).

By checking the box "I accept the Terms & Conditions" during registration or at the point of purchase, the Client explicitly accepts these T&Cs without reservation. These T&C constitute a binding legal agreement.

2. Nature of the Service

2.1. Service Description. VIANÉDITA is a documentary travel project offering curated route guides, concierge assistance, and accompanied expedition services across Europe. The Project operates at the intersection of editorial travel media and experience curation.
2.2. Digital Guides. VIANÉDITA offers curated digital travel guides (the "Guides") accessible via the Client's personal account on the Website. Each Guide is presented as an interactive web page within the account dashboard and is additionally available for download in PDF format. Upon successful payment, the Client is granted immediate access to the purchased Guide. The Guide constitutes digital content delivered in non-physical form.
2.3. Concierge Service. VIANÉDITA offers a route planning and concierge assistance service (the "Concierge Service"), whereby the Organizer provides personalised itinerary design and facilitation of bookings on behalf of the Client. The fee covers exclusively the Organizer's advisory and coordination services. All third-party bookings (restaurants, excursions, tastings, accommodation, and similar services) are made in the Client's name and paid directly by the Client to the relevant providers via links or references supplied by the Organizer. The Organizer acts solely as a coordinator and does not assume the role of a travel operator (agencia de viajes) or party to any agreement between the Client and third-party providers.
2.4. Accompanied Expeditions. VIANÉDITA organises small-group curated expeditions with on-site accompaniment by the project team (the "Expedition"). The fee covers the Organizer's curation, route design, and on-site direction services. Costs of third-party services incurred during the Expedition (transportation, venue entry, tastings, excursions, and similar) are pooled into a shared travel fund collected from Clients in cash on the day of the Expedition, and disbursed by the Organizer's coordinator on-site. These funds do not pass through the Organizer's accounts and do not form part of the contracted service fee. VIANÉDITA provides exclusively advisory, curatorial, and on-site accompaniment services. The Organizer does not sell, arrange, or bundle transport, accommodation, or tourist services into a single offering. Clients are responsible for their own travel to and from the Expedition starting point. The curation fee covers only the Organizer's intellectual and coordination services. All third-party costs (transport, venue entry, tastings) are settled independently by Clients through the Travel Fund mechanism described above. This service model constitutes personal concierge and curation services (servicios de asesoramiento y acompañamiento personalizado) and does not constitute the sale of a package travel arrangement (viaje combinado) within the meaning of Spanish Royal Decree-Law 23/2018 and Directive (EU) 2015/2302. The Organizer does not hold, and is not required to hold, a travel agency licence (licencia de agencia de viajes) for the provision of these services. The Organizer will provide Clients with an estimated Travel Fund amount in the pre-Expedition materials. Any shortfall in third-party costs will be managed by the Organizer's coordinator without additional charge to the Client, unless extraordinary circumstances require otherwise. Any surplus will not be refunded individually but may be applied toward group expenses during the Expedition.
2.5. No Guarantee of Outcomes. VIANÉDITA provides editorial, advisory, and coordination services. The Organizer does not guarantee any specific travel outcome, commercial benefit, or experience result. The quality of third-party services (restaurants, venues, local operators) is beyond the Organizer's control and does not constitute grounds for a refund.
2.6. Editorial Nature of Guides. The content of all Digital Guides reflects editorial research conducted at the time of publication. The Organizer does not warrant that third-party venues, restaurants, producers, or other locations featured in the Guides will remain open, unchanged, or available at the time of the Client's visit. The Guides constitute editorial recommendations, not guarantees of service availability. The Organizer will make reasonable efforts to update material inaccuracies upon notification. Digital Guides may include links to third-party websites and mapping services (including Google Maps and venue websites) as supplementary reference material. These links are provided for convenience only. The Organizer has no control over the availability, accuracy, or continuity of third-party websites or mapping platforms and is not liable for their unavailability or changes made by the respective third-party providers. The primary content of each Guide consists of original editorial text and curated recommendations, which constitute the core deliverable; external links are supplementary, and their unavailability does not render the Guide non-conforming.

3. Eligibility and Registration

3.1. Access to VIANÉDITA's services is open to any individual aged 18 or over, residing in any country, with the legal capacity to enter into a binding agreement under the laws of their country of residence.
3.2. The Client warrants that all personal data provided during registration and purchase is true, accurate, and up-to-date. The Organizer reserves the right to suspend or terminate access if false or incomplete information is detected.
3.3. Account Security. The Client is solely responsible for maintaining the confidentiality of their login credentials and for all activity conducted under their account. The Organizer is not liable for any loss or damage arising from unauthorised access to the Client's account resulting from the Client's failure to protect their credentials.
3.4. Accompanied Expeditions — Additional Requirements. Participation in any Expedition is subject to the Client holding valid travel or activity insurance covering the activities included in the relevant itinerary. The Organizer will provide recommended insurance providers as part of the pre-Expedition materials. The Organizer does not act as an insurance agent and does not include insurance in the service fee. Failure to hold adequate insurance does not entitle the Client to a refund but may result in exclusion from the Expedition at the Organizer's discretion. Recommended providers may include affiliate partners from whom the Organizer may receive a commission. This does not affect the price paid by the Client.

4. Fees, Taxes, and Payment

4.1. Pricing. The fees for each service are indicated on the Website at the time of purchase.
4.2. VAT (IVA). Prices are expressed in Euros (€) and do not initially include Value Added Tax (IVA).
  • Spanish Clients: The applicable IVA rate (currently 21%) will be added to the final amount.
  • EU B2C (Individuals): Clients who are individuals residing in the EU (outside Spain) will be charged the applicable Spanish IVA rate (currently 21%), subject to applicable EU VAT thresholds.
  • EU B2B (Reverse Charge): Companies registered in the EU (outside Spain) with a valid VIES VAT number will be invoiced with 0% VAT (Reverse Charge Mechanism). If the VIES number cannot be validated, Spanish VAT will be charged.
  • Non-EU Clients: VAT will not be charged, subject to applicable tax laws.
4.3. Withholding Tax (IRPF for Spanish B2B). For Spanish B2B Clients (companies and freelancers): In compliance with Spanish tax regulations regarding professional activities (Autónomo), invoices issued to Spanish legal entities or professionals are subject to the applicable Personal Income Tax (IRPF) withholding (currently 15% or 7% for new freelancers, as applicable). The Client is solely responsible for declaring and paying this withholding to the Spanish Tax Agency (AEAT) in accordance with the invoice provided by the Organizer. The fees listed on the website represent the gross base amount (Base Imponible) plus VAT (IVA), subject to withholding where applicable by law.

5. Cancellation and Refund Policy

5.1. Non-Refundable Fee. Except as required by mandatory applicable law — including the right to remedy for non-conforming digital content under Directive (EU) 2019/770 and its Spanish implementation (Real Decreto-ley 7/2021) — the service fee is strictly non-refundable once the service has commenced or digital content has been delivered.
5.2. Waiver of Withdrawal Right. In accordance with Article 103(m) of the Spanish General Law for the Defense of Consumers and Users (TRLGDCU), the right of withdrawal (14-day cooling-off period) does not apply to the supply of digital content or services once the performance has begun. With respect to Concierge Services and Accompanied Expeditions, the right of withdrawal is excluded pursuant to Article 103(a) TRLGDCU, as the service has commenced at the Client's express request prior to the expiry of the withdrawal period.
5.3. Explicit Consent and Loss of Withdrawal Right. By completing the purchase, the Client expressly requests the immediate commencement of the contracted service. For Digital Guides: the right of withdrawal is lost upon the granting of access to the Client's personal account dashboard, at which point the Guide becomes available for viewing and download. For Concierge Services: the right of withdrawal is lost upon the Organizer's commencement of itinerary design or booking facilitation on the Client's behalf, which occurs within 48 hours of payment confirmation. For Accompanied Expeditions: the right of withdrawal is lost upon the Organizer's written confirmation of the Client's place in the Expedition. The Organizer ensures that at the point of purchase, the Client is presented with a clear and separate acknowledgement confirming: (i) the request for immediate commencement of the service, and (ii) the consequent loss of the right of withdrawal. This acknowledgement is a mandatory step before payment can be completed.
5.4. Force Majeure. In the event of force majeure (including but not limited to natural disasters, pandemics, government restrictions, or circumstances beyond the Organizer's reasonable control) preventing the delivery of an Expedition on the scheduled date, the Organizer reserves the right to reschedule the Expedition or deliver an alternative format. In such cases, the Organizer will offer the Client a credit note valid for 12 months toward a rescheduled or alternative Expedition. If no rescheduled date is offered within 6 months, the Client may request a refund of the curation fee.
5.5. Client Cancellation — Expeditions. If the Client wishes to cancel a confirmed Expedition booking, the following policy applies: cancellations made more than 14 days before the Expedition date will receive a credit note valid for 12 months toward any future VIANÉDITA service; cancellations made 14 days or less before the Expedition date are non-refundable and no credit will be issued. 5.6. Non-EU Clients. The statutory right of withdrawal described in Sections 5.2 and 5.3 applies exclusively to Clients who are consumers resident in the European Union. Clients residing outside the EU, including those in the United States, do not hold a statutory right of withdrawal under EU law. The refund and cancellation terms set out in this Section 5 nevertheless apply to all Clients regardless of country of residence, and constitute the complete statement of the Organizer's refund obligations.

6. Intellectual property and license

6.1. Ownership of VIANÉDITA Content. All content produced by or on behalf of VIANÉDITA — including but not limited to documentary films, digital guides, route itineraries, photographs, written descriptions, brand assets, and any other materials published on the Website or distributed to Clients (collectively, the "VIANÉDITA Content") — is the exclusive intellectual property of the Organizer. Nothing in these T&C transfers any ownership right in the VIANÉDITA Content to the Client.
6.2. Limited Personal License — Digital Guides. Upon purchase of a Digital Guide, the Client is granted a personal, non-exclusive, non-transferable, revocable license to access, view, and download the Guide for their own personal, non-commercial use. The Client may not reproduce, redistribute, resell, sublicense, publish, or share the Guide content — in whole or in part — with third parties, whether for commercial purposes or otherwise.
6.3. Image Rights — Accompanied Expeditions. By confirming participation in an Expedition, the Client acknowledges and agrees that the Organizer may photograph and film participants during the Expedition for editorial, archival, and promotional purposes, including publication on the Website, YouTube channel, and social media accounts of VIANÉDITA. The Client grants the Organizer a worldwide, royalty-free, perpetual license to use such images and footage in connection with the Project. If the Client objects to being personally identifiable in published materials, they must notify the Organizer in writing before the Expedition. The Organizer will make reasonable efforts to accommodate such requests, subject to the editorial nature of the Project.
6.4. Client-Submitted Content. If the Client voluntarily submits any content to the Organizer (such as reviews, photographs, or testimonials), the Client grants the Organizer a non-exclusive, royalty-free license to use such content for promotional purposes, with attribution where appropriate.

7. Intellectual property: organizer's brand

7.1. Organizer's IP. "VIANÉDITA", the logo, and the digital badges are the exclusive intellectual property of the Organizer.
7.2. Sharing and Brand Usage by Clients. Clients who have purchased a Guide or participated in an Expedition are permitted to share and repost VIANÉDITA Content (including content featuring the VIANÉDITA logo or brand assets) on their personal social media accounts, subject to the following conditions:
  • The VIANÉDITA account must be credited in the post (e.g., via tag or mention).
  • The logo and brand assets must not be altered, distorted, or used in combination with third-party branding without prior written consent.
  • The Client must not imply any commercial endorsement, sponsorship, or official partnership with VIANÉDITA that does not exist.
  • The Client must not use VIANÉDITA brand assets in a context that could damage the reputation of the Project.
The Organizer reserves the right to revoke this permission at any time if these conditions are breached.
7.3. No Third-Party Infringement. Clients must not use third-party trademarks in a way that infringes on the rights of third parties. The Organizer reserves the right to retroactively revoke the license to use VIANÉDITA brand assets if the Client breaches these restrictions or the Ethical Conduct clause (8.4).

8. Expedition conduct and right of refusal

8.1. Right of Admission. The Organizer reserves the right to decline a booking or cancel a confirmed place in an Expedition at its sole discretion, including where the Organizer reasonably believes that the Client's participation may be incompatible with the safety, experience, or group dynamics of the Expedition. In such cases, the Client will be offered a credit toward a future Expedition or a refund of the curation fee, at the Organizer's discretion.
8.2. Code of Conduct. Clients participating in Expeditions are expected to conduct themselves with respect toward the Organizer's team, other participants, and any third parties encountered during the itinerary (including venue owners, local producers, and community members). The Organizer reserves the right to remove any Client from an Expedition if their behaviour is disruptive, offensive, or harmful to any person or property. In such cases, no refund will be issued.
8.3. Physical and Health Requirements. The Client is responsible for ensuring they are physically fit and adequately prepared for the activities included in the Expedition itinerary. The Organizer is not liable for any injury, illness, or loss arising from a Client's failure to disclose relevant health conditions prior to participation.
8.4. Ethical Conduct. The Organizer reserves the right to terminate a Client's access to any VIANÉDITA service — including revocation of any Guide license or Expedition participation — if the Client engages in conduct that is objectively harmful to the reputation of the Project, its partners, or the communities featured in its content.
8.5. Minors. Participants under the age of 18 are not permitted to attend Expeditions that include alcohol tastings or other age-restricted activities, unless explicitly stated otherwise in the relevant itinerary. The Client is responsible for ensuring compliance with this requirement. The Organizer reserves the right to refuse participation to any minor without a refund.

9. Data protection

9.1. Data Controller: Anna Chizhova, with NIF Z0144633Z.
9.2. Purpose: Management of service delivery, billing, and, if consented, sending marketing communications.
9.3. Legal Basis. The processing of your data is based on:
  • Contractual necessity (Art. 6(1)(b) GDPR): To manage your participation and billing.
  • Legal obligation (Art. 6(1)(c) GDPR): For tax and accounting purposes.
  • Legitimate interest (Art. 6(1)(f) GDPR): For the promotion of the Project and publication of editorial and expedition content.
9.4. International Transfers. The Client acknowledges that personal data may be processed by third-party service providers, including but not limited to those listed below, some of which may be located outside the European Economic Area. For a complete list of data processors, please refer to our Privacy Policy.
  • Stripe, Inc. (USA) — payment processing, covered by the EU-U.S. Data Privacy Framework (DPF);
  • HubSpot, Inc. (USA) — client relationship management, covered by DPF.
Website infrastructure is provided by Tilda Publishing, acting as a data processor under the Organizer's instructions in accordance with GDPR requirements. All data transfers are subject to appropriate safeguards ensuring an adequate level of protection in accordance with GDPR Chapter V.
9.5. Rights: The Client may exercise their rights of access, rectification, deletion, and opposition by sending an email to info.vianedita@gmail.com
9.6. Retention of Purchase Records. The Organizer retains records of Guide purchases and Expedition bookings for as long as necessary to manage the Client relationship and comply with Spanish tax law (up to 6 years for financial records, pursuant to the General Tax Law). Upon a valid request for erasure, personal data not required for tax or legal compliance will be deleted or fully anonymised. Clients who have participated in Expeditions acknowledge that editorial materials (films, photographs) produced during the Expedition may be retained and published as part of the VIANÉDITA archive, subject to Section 6.3.
9.7. Publicity. The Organizer may request the Client's explicit consent to publish their name, likeness, or voluntarily shared content for promotional purposes on the VIANÉDITA Website, YouTube channel, and social media accounts. Such consent will be sought separately and is not a condition of participation. Where consent is given, it may be withdrawn at any time by contacting info.vianedita@gmail.com
9.8. Supervisory Authority. You have the right to lodge a complaint with the Spanish Data Protection Authority (AEPD) at www.aepd.es if you believe your rights have been violated.

10. DMCA notice (USA compliance)

10.1. We respect intellectual property rights. If you believe your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information (Digital Millennium Copyright Act, 17 U.S.C. § 512):
(i) Identification of the copyrighted work;
(ii) Identification of the infringing material;
(iii) Your contact information.
10.2. Counter-Notification. If you believe your content was removed by mistake, you may submit a counter-notification in accordance with 17 U.S.C. § 512(g)(3) to our Copyright Agent.

11. Liability

11.1. The Organizer acts in good faith to deliver its services but does not guarantee any specific travel outcome, commercial benefit, or experience result for the Client.
11.2. The Organizer's liability in any event constitutes a maximum of the amount paid by the Client for the relevant service. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law (such as fraud, willful misconduct, or consumer rights violations).
11.3. The Organizer is not responsible for technical failures, server downtime, or payment gateway errors outside of its direct control.

12. Modifications to The Terms

12.1. The Organizer reserves the right to modify these T&C at any time (e.g., to comply with new laws or adjust operational dates). Significant changes will be communicated via email or a prominent notice on the Website. Continued use of the Service after such changes constitutes your acceptance of the new T&C.

13. Applicable Law and Jurisdiction

13.1. These Terms shall be governed by and construed in accordance with the laws of Spain.
13.2. For any dispute arising from the interpretation or execution of these T&C, the parties submit to the exclusive jurisdiction of the courts of the city of Barcelona, expressly waiving any other jurisdiction that may correspond to them. This clause does not affect mandatory consumer protection rights under EU law, which may allow the Client to bring proceedings in their country of residence. Clients residing in jurisdictions where mandatory consumer protection laws provide for local jurisdiction (including certain states of the United States of America) retain the right to bring proceedings before their local courts to the extent that such right cannot be waived under applicable law.
13.3. Alternative Dispute Resolution (ADR). In compliance with consumer protection regulations and following the discontinuation of the European ODR platform (Regulation (EU) 2024/3228), we inform you that you have the right to seek an out-of-court settlement through an accredited Alternative Dispute Resolution (ADR) entity. You can consult the official list of ADR bodies in your country (including Spain) on the European Commission's website here: https://consumer-redress.ec.europa.eu/dispute-resolution-bodies
13.4. Severability. If any provision of these T&C is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these T&C will remain in full force and effect.
13.5. Notice for US Clients. Clients resident in the United States are advised that their purchase is governed by these T&C and Spanish law as set out in Section 13.1. No US federal or state right of withdrawal applies to digital content or services purchased under these T&C. Clients in California are further advised that personal data collected through this Website may be processed in accordance with our Privacy Policy.
